How the rate is set

SATA

Strive’s board sets SATA’s rate each month. It can only cut it by a small, formula-limited amount, never below the one-month SOFR benchmark, and not at all while any dividends are unpaid. A cut also has to meet the trading conditions in the certificate.

Filed terms. The board sets the monthly regular dividend rate. The rate stays the same unless the board chooses a different rate and gives notice before the first business day of the monthly dividend period the new rate covers. The board cannot set a negative rate. It cannot cut the rate by more than 25 basis points plus the excess, if any, of one-month term SOFR on the first business day of the prior monthly dividend period over the lowest one-month term SOFR on the business days of that prior period. It cannot set the rate below one-month term SOFR on the business day before the notice. The board cannot cut the rate until three months after the initial issue date, unless the average of the last reported sale prices over 20 consecutive trading days exceeds $100 during those three months. A cut also requires that accumulated regular dividends for every prior completed monthly dividend period have been paid in full, or declared in full and set aside, and that the average of the last reported sale prices for each trading day of the immediately preceding monthly dividend period is at least $99 per share.

Strategy’s board sets STRC’s rate each month. It can only cut it by a small, formula-limited amount, never below the one-month SOFR benchmark, and not at all while any dividends are unpaid.

The rate stays the same unless the board chooses a different rate and gives notice before the first business day of the regular dividend period immediately before the period the new rate covers. The board cannot set a negative rate. It cannot cut the rate by more than 25 basis points plus the excess, if any, of one-month term SOFR on the first business day of the third regular dividend period before that period over the lowest one-month term SOFR from that day through the last business day of the second regular dividend period before that period. It cannot set the rate below one-month term SOFR on the business day before the notice. The board will not cut the rate unless accumulated regular dividends for every prior completed regular dividend period have been paid in full, or have been declared in full and set aside.

Strategy says it uses a multi-factor, discretionary framework to set the rate. Its June 29, 2026 filing says it “will not necessarily increase the STRC dividend rate solely because STRC trades below its stated amount.”

The June 29, 2026 8-K set the STRC rate at 12.00% for semi-monthly periods with record dates on or after July 1, 2026. The first of those periods is July 16–31, 2026 (record date July 15). The July 1–15 period has a record date of June 30 and paid 11.50%.

  • Subsidiary liabilities in the coverage ratio. The Mar 23, 2026 prospectus says every preferred is structurally junior to subsidiary liabilities. The coverage ratios do not include an amount for them.
  • Form 8937 for later 2026 payments. As of October 9, 2026, Strategy’s dividend page did not include Form 8937s for the August 31, 2026 and September 2026 payments. The December 2025 index entry omits STRE.
